Terms of Service

These Terms of Service ("Terms") govern your use of the RatingSelect™ platform operated by Direct Frontier LLC ("RatingSelect™," "we," "us," or "our"). By using our platform, you agree to these Terms.

1. Platform Description

RatingSelect provides automated SMS review request messaging services to local service businesses ("SMB Users"). SMB Users use the platform to send review requests to their customers following service delivery.

2. Eligibility

You must be a legally registered business entity or sole proprietor to use RatingSelect as a SMB User. Use of the platform constitutes your representation that you have the legal authority to enter into these Terms.

3. SMB User Responsibilities

As a SMB User, you are solely responsible for:

• Consumer consent: Obtaining proper written or documented consent from your customers before submitting their contact information to RatingSelect for SMS messaging. Consent may be collected via a website contact or inquiry form, intake form, invoice, or service agreement — and must clearly disclose that the customer may receive a review request text.
• TCPA compliance: Ensuring your consent collection practices comply with the Telephone Consumer Protection Act (TCPA) and any applicable state laws governing SMS marketing and communications.
• Accuracy of contact data: Ensuring phone numbers submitted to the platform belong to the intended recipients and that recipients are your actual customers.
• Opt-out honoring: Not resubmitting contact information for customers who have previously opted out.

4. Prohibited Uses

You may not use RatingSelect to:

• Send messages to consumers who have not provided prior consent
• Send spam, unsolicited commercial messages, or messages unrelated to review requests
• Harass, threaten, or deceive message recipients
• Violate any applicable law, including the TCPA, CAN-SPAM Act, or carrier acceptable use policies
• Submit fabricated or purchased contact lists

5. Carrier Filtering

SMS messages sent through RatingSelect are subject to filtering and blocking by mobile carriers. RatingSelect makes no guarantee that messages will be delivered to all recipients. We are not liable for messages that are filtered, blocked, or delayed by carriers for any reason, including 10DLC compliance issues outside our control.

6. Intellectual Property

The RatingSelect platform, including its software, design, and content, is owned by Direct Frontier LLC. You may not copy, modify, or distribute any part of the platform without our written consent.

7. Disclaimer of Warranties

The platform is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that messages will achieve any particular outcome, including generating positive reviews.

8. Limitation of Liability

To the maximum extent permitted by law, Direct Frontier LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to loss of business, loss of revenue, or TCPA violations resulting from your failure to obtain proper consumer consent.

9. Indemnification

You agree to indemnify and hold harmless Direct Frontier LLC from any claims, damages, or expenses (including attorneys' fees) arising from your use of the platform, your violation of these Terms, or your failure to comply with applicable laws including the TCPA.

10. Termination

We reserve the right to suspend or terminate your access to RatingSelect at any time for violation of these Terms or applicable law, without prior notice.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated Terms.
